1. Agreement to Terms

By accessing or using Modaflow ("Service"), operated by Modaflow LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Modaflow is an AI-powered virtual try-on platform that generates images of professional models wearing garments uploaded by users. The Service operates on a credit-based system where users purchase credits to generate images.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Credits and Payments

The Service uses a credit-based payment system. Credits are purchased in advance through our payment processor. Each image generation consumes credits as specified at the time of purchase.

  • No Expiration: Purchased credits do not expire and remain available in your account indefinitely.
  • Non-Refundable: All credit purchases are final and non-refundable, except where required by applicable law.
  • Failed Generations: If a generation fails due to a system error, credits will be automatically refunded to your account.
  • Pricing Changes: We reserve the right to modify pricing at any time. Changes will not affect previously purchased credits.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Upload content that infringes on any third party's intellectual property rights
  • Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Generate images depicting illegal activities or content
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use the Service to compete with or replicate our offerings
  • Circumvent any access or usage limits
  • Share your account credentials with third parties

6. Intellectual Property

Your Content: You retain full ownership of the garment images you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process your images solely for the purpose of providing the Service.

Generated Content: Images generated by the Service using your uploaded garments are owned by you. You may use generated images for commercial and personal purposes.

Our Content: The Service, including its design, features, and underlying technology, is owned by the Company and protected by intellectual property laws. Model images used in the Service are licensed to us and may not be extracted or used separately.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Unused credits are forfeited upon termination for cause.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
